Terms of Service
Draft for review · Effective date not set
These draft Terms describe the Lawton Ventures website and creator campaign reporting service. Lawton Ventures LLC (“Lawton Ventures,” “we,” or “us”) connects creators with music artists, agencies, and brands for performance-based campaigns.
Items to finalize before publication
- Confirm dispute venue, liability limits, and any indemnity language with counsel.
- Confirm that campaign-specific agreements use terms consistent with this page.
- Confirm the operational deletion and retention process before accepting creator data.
1. Eligibility and acceptance
Creator participation in campaigns is limited to individuals who are at least 18 years old and able to enter a binding agreement. By using this website, viewing a campaign report, or participating in a campaign, you agree to the terms that apply to that activity and to any separate campaign-specific agreement.
Review required: this is proposed acceptance language, not a record of user agreement. The current application does not verify age or collect explicit acceptance of these Terms. Confirm the onboarding, consent, and campaign-agreement process before final publication.
2. Service, access, and responsibilities
The service manages campaign briefs, creator participation, submitted video links, manual review and view records, earnings records and read-only artist reports. Creators may sign in through Clerk using email verification codes or configured Google sign-in, manage social-account handles, and join eligible published campaigns by explicitly accepting the current version of their rules. Account creation alone does not join a campaign, establish payment terms or grant administrator access. Marketplace ownership and tracking are reviewed manually. The separate ScrapeCreators preview evaluates public-bio ownership checks and public observations, not official TikTok authorization or official analytics. Preview observations do not automatically change marketplace earnings or create payment obligations.
Pending submissions do not reserve funds or guarantee acceptance. Admin acceptance reserves the agreed maximum video payout against the campaign budget. Final eligibility depends on the submitted rules version, platform-specific threshold method, checked views, rate and payout cap; calculated USD cents round down. New rules require renewed acceptance before additional submissions. Estimated or reserved upper bounds are not approved earnings. Payments are made outside this app and recorded manually. Finalized payment corrections and disputes require review, not silent alteration of history.
Admin access is password-protected. Client reports use individual unlisted links rather than client accounts. Anyone who receives a campaign link may view that campaign’s report, so do not redistribute the link publicly. Lawton Ventures may rotate a link or remove a campaign to end access.
People using the service must provide accurate campaign submissions, keep admin credentials and private report links secure, and promptly report suspected unauthorized access. Creators are responsible for complying with campaign instructions and maintaining the rights and permissions needed for their submissions.
3. Campaign participation and campaign-specific agreements
Participation, deliverables, content requirements, eligible views, rates, payment conditions, deadlines, and any campaign-specific rules must be set out in the applicable campaign-specific agreement. That agreement controls those campaign details. A campaign report is an operational record and does not amend an agreement or by itself establish that views are billable or payment is due.
4. View tracking, CPM estimates, and payments
Existing campaign view counts are entered manually and may be incomplete, delayed, or inaccurate. A separate preview integration evaluates public observations returned by ScrapeCreators; those observations are not official TikTok analytics and are not guaranteed accurate or continuously available. Public-bio verification does not authorize extraction under TikTok's terms. Production provider access and scheduled tracking are disabled pending permission review. A provider not-found response does not prove that a video was deleted.
Separate tracking-preview estimates start at 10,000 observed views, including the first 10,000, using an administrator-configured creator CPM, per-video cap, posting limits and creator budget. Preview approval snapshots the video's rate and cap; later policy edits do not silently reprice it. Preview estimates are provisional, not a promise or record of payment. Tracking client budget progress is a percentage only; tracking budgets and client financial breakdowns remain admin-only. Marketplace briefs can separately show explicitly approved creator-facing rates and budgets, never private client pricing or margins. Final eligibility, billable views, rounding, adjustments, fraud and decreased-view handling, payment timing, tax requirements and final amounts require an approved campaign-specific agreement before production use.
The tracker does not process payments or store payment-card details. Payment obligations, invoicing, tax documentation, and payment disputes must be addressed in the applicable campaign-specific agreement outside this application.
5. Creator content and rights
Creators retain ownership of their content. For campaign tracking and reporting, creators grant Lawton Ventures permission to display submitted campaign video links, permitted embeds, and related performance metrics to the relevant campaign clients. Creators must have the rights and permissions needed for their content, including any music or other material they use. Advertising, paid-media, reposting, editing, or other use beyond campaign tracking and reporting requires a separate agreement.
6. Sponsorship disclosures and prohibited conduct
Creators are responsible for making clear and timely sponsorship or material-connection disclosures required by applicable law, platform rules, and the campaign-specific agreement. Do not use bots, purchased or fabricated engagement, view manipulation, misleading reports, unauthorized access, or other activity intended to falsify campaign performance. Lawton Ventures may investigate, correct campaign records, suspend participation, or revoke access when it reasonably suspects fraud or a material breach, subject to applicable agreements and law.
7. Intellectual property
Lawton Ventures retains its rights in its name, logo, website, software, and reporting materials. TikTok and creator content remain subject to their respective owners’ rights and terms. No rights are granted except those expressly described here or in a separate written agreement.
8. Suspension and termination
Lawton Ventures may suspend or end access to the website or a campaign for security, suspected fraud, breach of an agreement, or legal reasons. Campaign links may be rotated or revoked, and an admin may delete a campaign and its associated posts and view history. Campaign termination and any resulting payment or content obligations remain governed by the applicable campaign-specific agreement.
9. Availability and disclaimers
The website and reports are provided for campaign administration and informational reporting. Availability of TikTok pages, thumbnails, and other third-party services is controlled by those providers. We do not guarantee campaign reach, views, engagement, or business results. Nothing in these draft terms limits rights or remedies that cannot lawfully be limited.
10. Governing law and unresolved legal terms
Texas law is intended to govern these Terms, without regard to conflict-of-law rules, subject to mandatory laws that apply to a particular user or transaction. The appropriate court venue, dispute process, limitation of liability, and any indemnity terms have not been finalized and must be reviewed by counsel before publication.
11. Changes and contact
We may update these Terms. The effective date and notice process for material changes must be set before launch. For questions about these draft Terms, contact luke@lawtonventuresllc.com.
